NOW, THEREFORE, the parties hereto agree to enter into this partnership and be bound by the following terms:
1. Partnership Scope
The partnership between the First Party and the Second Party shall focus on the listing, promotion, and booking management of the Second Party’s services (hotels, camping tents, cab services) through the online platform mahakumbhprayagraj2025.com.
2. Term of Agreement
This partnership shall be valid for a period of 4 months starting from [Start Date] to [End Date], unless terminated earlier by either party in accordance with the terms of this deed.
3. Vendor Obligations
The Second Party agrees to:
- Provide accurate and up-to-date information regarding their services, including prices, availability, photos, and other relevant details.
- Manage their listing through the provided admin dashboard.
- Respond promptly to customer enquiries and bookings made through the platform.
- Ensure that their services meet the quality standards required for customers during Mahakumbh 2025.
4. First Party Obligations
The First Party agrees to:
- List the Second Party’s services (hotels, tents, cabs, etc.) on the platform for a period of 4 months.
- Promote the Second Party’s services through online marketing channels, including specific blog posts.
- Forward all customer enquiries directly to the Second Party via email, without charging any additional fees or commissions.
- Provide the Second Party with access to an admin dashboard to manage their listings, prices, and other service details.
- Offer local support to ensure smooth operations for the Second Party during Mahakumbh Prayagraj 2025.
5. Financial Terms
- The Second Party shall pay a fee of ₹25,000 for the 4-month listing and promotion services provided by the First Party.
- This fee is payable upon the execution of this deed, and no additional charges shall be levied on the leads or bookings generated through the platform.
6. No Commission Structure
The First Party will not take any commission or percentage of sales from bookings or services provided by the Second Party to customers. The Second Party will receive all proceeds from the bookings without deduction.
7. Termination
This partnership can be terminated by either party in writing under the following conditions:
- Breach of any terms outlined in this deed.
- Non-performance or failure to provide services as advertised by the Second Party.
- Mutual agreement between the two parties.
In the event of termination, the Second Party will be delisted from the platform, and no further promotion or enquiries will be forwarded.
8. Dispute Resolution
Any disputes arising from this partnership will be resolved amicably through negotiations. In the event the dispute cannot be resolved, it will be subject to arbitration under the [Applicable Arbitration Laws of India].
9. Confidentiality
